Terms of Service

The agreement
These terms are between you and Nupik Wenpach LLC, which operates modulate.pro. By creating an account or using the service you accept them. If you are agreeing on behalf of a company, you confirm you have authority to bind it.
Your account
You need a valid email address and must be at least 13 years old. Keep your password to yourself; you are responsible for what happens under your account. Tell us at noah@nupikwenpach.com if you think someone else has access to it.
One person, one account. Company accounts are licensed per seat, and a seat is for a named individual rather than a shared login.
Your content stays yours
You own everything you write. We claim no ownership of your notes, lists, messages or images. You grant us only the permission needed to actually run the service: to store your content, transmit it between your own devices, show it to people you deliberately share it with, and back it up.
That permission ends when you delete the content or your account, apart from the anonymised chat messages and retained billing records described in the Privacy Policy.
Acceptable use
Do not use the service to:
- Break the law, or store or share material that is illegal.
- Harass, threaten or impersonate anyone.
- Upload malware, or try to breach, overload or probe the service or other people's accounts.
- Scrape, resell or redistribute the service, or circumvent plan limits.
We may suspend or close an account that does these things. Where it is reasonable to do so, we will tell you first.
Plans and payment
There is a free tier with published limits, and paid plans that lift them. Prices and what each plan includes are shown before you buy. Subscriptions renew automatically for the same period until canceled.
- Canceling. Cancel any time from your account settings. You keep the paid plan until the end of the period you have already paid for, and are not charged again.
- Refunds. Payments are generally non-refundable except where the law requires otherwise. If something has clearly gone wrong, write to noah@nupikwenpach.com. We would rather sort it out than argue about it.
- Failed payments. If a charge fails we will retry for a period before the plan reverts to free. Your content is not deleted when a plan ends; limits simply apply again.
- Purchases made through Apple. Subscriptions bought inside an iOS app are billed by Apple under their terms, and cancellations and refunds for those are handled in your Apple account rather than by us.
- Price changes. We will give at least 30 days’ notice by email before a price change affects an existing subscription.
Availability
We work to keep the service running but do not promise it will be uninterrupted or error-free. We may change, add or remove features. If we ever discontinue the service entirely we will give reasonable notice and an opportunity to export your content.
Measurement, and that it is a condition of use
Using modulate.pro means it is measured. Three separate things count what happens: our own page-view counting, which never leaves our servers; a short list of product events, which carries identifiers and counts and nothing you wrote; and a third that records clicks automatically, including the text on whatever was clicked, which inside the product is your own writing. The privacy policy describes all three in full, names the companies, and does not soften the third one.
Inside the product there is no setting that turns this off, and we are not going to pretend otherwise by offering one that does nothing. It is a condition of having an account rather than a preference within it. If that is not acceptable to you, the honest answer is not to use the service, and we would rather say that than bury it.
On the public pages, before you have an account, you can decline it. A stranger reading a sales page has agreed to nothing, so the third counter is offered rather than assumed: the bar on your first visit turns it off, and it stays off in that browser. It is a real refusal and not a recorded preference somebody ignores. Nothing loads, no identifier is set and no click is sent, because the way it is switched off is that it is never started. Note what it does not cover: declining on the public pages does not follow you into an account, since the terms above make measurement a condition of that.
Two smaller things worth saying plainly. Remembering that you declined is itself something stored in your browser, because there is no way to remember a preference while storing nothing. And a browser set to block third-party cookies will not stop any of this on its own; the policy explains why, and names what does. The AI features are a separate matter entirely and stay off until you switch them on.
None of it is sold, rented or shared with anyone for their own purposes, no recording of your screen is ever made, and none of it is advertising. If that changes, it changes here first.
Text messages
modulate.pro sends one kind of text message: a six-digit verification code, and only when you ask for one. There are two places you can ask. The first is the form a company publishes for people outside it to file a request through. The second is your own account page, where you may register a mobile number, after which signing in takes your password and then a code texted to that number. Either way you ask by entering your number and ticking the box that offers to text you a code, and ticking that box is your consent to be texted at that number. Neither is required: a request can be filed without a number, and you can go on signing in by email or by password. Both opt-ins are reproduced word for word on the text messages page, which needs no account to read.
There is no recurring, scheduled or marketing text of any kind. The frequency is entirely yours: one message per code you request, and a number may be sent at most five codes an hour.
Message and data rates may apply. Reply STOP, UNSUBSCRIBE or CANCEL to any message to stop receiving them, and START to receive them again. Reply HELP for help, or write to noah@nupikwenpach.com, or call (575) 909-1701. A number that has replied STOP is recorded as stopped by us, and nothing is sent to it until it replies START, which also means codes will not reach it and you will need another way to sign in.
Carriers are not liable for delayed or undelivered messages. Delivery depends on your carrier and your handset, and neither is something we control.
Ending it
You can delete your account at any time from your settings. We may suspend or terminate an account that breaches these terms, that is used unlawfully, or where required by law. On termination your right to use the service stops; the sections on content ownership, disclaimers, liability and governing law survive.
Disclaimers and liability
The service is provided “as is”, without warranties of any kind to the fullest extent the law allows. We are not liable for indirect, incidental or consequential damages, or for lost profits or lost data. Where liability cannot be excluded, it is limited to the greater of the amount you paid us in the twelve months before the claim, or fifty US dollars.
Keep your own copies of anything you cannot afford to lose. The export tool exists for exactly that.
Changes to these terms
We may update these terms. For material changes we will update the effective date and notify you in the product or by email before they take effect. Continuing to use the service afterwards means you accept the new version.
Governing law
These terms are governed by the laws of the State of New Mexico, without regard to its conflict of laws rules. Nothing here removes consumer rights you have under the law where you live.
